Atlas OnePoint Affiliate Agreement: Atlas OnePoint AFFILIATE AGREEMENT This Affiliate Agreement (the "Agreement") applies to any applicant who submits an application to Atlas OnePoint, LLC ("AOP") on the www.AtlasOnePoint.com web site (the "Site") to become a participating affiliate in the Atlas OnePoint Affiliate Program (the "Program"), and who is accepted by AOP to participate as an affiliate ("Affiliate") in the Program. AOP may accept or reject any applicant for any reason in AOP's sole discretion. Affiliate also is subject to any and all policies, practices, rules, standards and guidelines implemented by AOP related to the Program (collectively referred to as "Program Policies"), as such Program Policies may change from time to time, and the Program Policies are hereby incorporated by reference into this Agreement. By submitting an application to participate in the Program and AOP accepting your application, Affiliate expressly accepts and agrees to be bound by the terms and conditions of this Agreement in full. Affiliate acknowledges and agrees that the Program and this Agreement may be changed by AOP, in its sole discretion, at any time without notice. Continued participation in the Program subsequent to any change constitutes Affiliate's acceptance of the change. Affiliate is advised to read this Agreement on a regular basis for any changes hereto. 1. Atlas OnePoint Services. 1.1 Services/Clients. Through the Site, AOP provides customers ("Clients") certain services related to AOP's proprietary system for managing and monitoring the Client's "pay-per-click" online advertising rates. The specific Services provided from time to time by AOP are described in the Site. AOP sets all pricing for the Services, and may change the pricing for the Services at any time without notice. AOP may accept or reject orders for Services in its sole discretion, and only AOP may process and accept or reject an order for a Client. All Clients that order Services are AOP's customers solely and exclusively. AOP may terminate a Client's account at any time without notice and without any liability to Affiliate. Affiliate acknowledges and understands that AOP may in its sole discretion change, modify, alter, suspend, remove, disable access to, terminate or discontinue all or any portion of the Site and/or the Services at any time for any reason, without notice, cost or liability. 1.2 Availability of Services. Affiliate understands and agrees that from time to time the Site and/or the Services may be inaccessible, unavailable or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which AOP may undertake from time to time; or (iii) causes beyond the control of AOP or which are not reasonably foreseeable by AOP, including, without limitation, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures. 2. Atlas OnePoint Affiliate Program. 2.1 Program. Subject to all of the terms and conditions of this Agreement, as an Affiliate in the Program, Affiliate may earn Commissions (as defined in Section 4.1 herein) based on revenues received by AOP from Clients that initially order Services from AOP through a Link (as defined in Section 2.2 herein) for AOP's Services on Affiliate's web site ("Affiliate Web Site"). AOP will monitor the Link to track any Clients for whom Affiliate may be entitled to a Commission under this Agreement, and AOP's determination shall be final and conclusive. 2.2 Link. Affiliate agrees to incorporate the graphical image files and/or marks provided by AOP to Affiliate (the "AOP Icon"), into the HTML files located on the Affiliate Web Site home page, in accordance with the specifications provided by AOP. Affiliate agrees to incorporate the Uniform Resource Locator (URL) designated by AOP for the Site into the AOP Icon to create the hypertext reference link (the "Link") from the Affiliate Web Site to the Site. Affiliate agrees to actively promote the Link on the Affiliate Web Site, subject to any guidelines communicated by AOP from time to time. 3. License and Proprietary Rights. 3.1 License. Subject to the terms and conditions of this Agreement, AOP grants to Affiliate a limited, non-exclusive, revocable and royalty-free license, for the term of this Agreement and only on and via the Affiliate Web Site, to: (i) copy, use, store, publicly display, publicly perform and transmit the AOP Icon; and (ii) incorporate the Link of the AOP Icon; all for the sole purpose of promoting the AOP Site and Services. Affiliate shall not: (a) display or use the Link in a manner that causes the Site or any portion of the AOP Content (as defined in Section 3.2 herein) to display within a frame, be associated with any advertising or sponsorship not part of the Site, or otherwise incorporate the AOP Content into a third party web site; (b) display or use an inline link to any information file contained in the Site; (c) alter, block or otherwise prevent display of any AOP Content; or (d) link to the Site through any other URL or mirrored site. 3.2 AOP Ownership. AOP shall retain all right, title and interest in the AOP Icon, the Services, the Site and all information it contains, or may contain in the future, including, without limitation, any software and any updates, modifications or enhancements thereof, all copyrights, trademarks, service marks and other proprietary or intellectual property rights (collectively referred to as the “AOP Content”), and all such AOP Content is the property of AOP or its licensors, and is protected by intellectual property laws and international intellectual property treaties. Except as expressly provided herein, nothing contained in this Agreement shall be construed as conferring any license or right, by implication, estoppel or otherwise, under copyright or other intellectual property rights, to use the Site or the AOP Content displayed on the Site, through the use of framing or otherwise, without the prior written permission of AOP or any third party that may own the trademark or copyright of material displayed on the Site. The AOP Content may not be reproduced, transmitted, displayed, published or distributed without the express prior written consent of AOP. 3.2 Trademarks. Atlas OnePoint and the Atlas OnePoint logo and any future trademarks, service marks or logos on the Site, including in the AOP Icon, are trademarks of AOP (the "AOP Marks") or AOP's licensor's. Except as expressly permitted in this Agreement with respect to the AOP Icon, without the prior written consent of AOP, Affiliate shall not display or use in any manner any AOP Marks or licensor's marks. 4. Commissions and Payments. 4.1 Commissions. Subject to the terms and conditions of this Agreement, during the term of this Agreement and for the duration of the Client's account if this Agreement is not terminated by AOP for breach of this Agreement, Affiliate may earn a commission of between five percent (5%) (see schedule below to determine exact commission percentage) and ten percent (10%) of the net revenues received each month by AOP from Clients that initially order Services from AOP through the Link from the Affiliate Web Site (the "Commission"). Affiliate shall not be eligible for Commissions for Clients that order Services under a discount program. "Net revenues" received by AOP shall mean the subscription price paid by the Client and received by AOP, less any applicable taxes, refunds, credits or other fees or adjustments to the Client's account. AOP may change the Commission rate at any time on a prospective basis effective as of the date AOP posts such change in this Agreement on the Site. The commission percentage is determined as follows: Client Net revenue between $1 and $5,000 = 5% commission Client Net revenue between $5,001 and above = 10% commission 4.2 Payment. AOP will pay Commissions to Affiliate within forty-five (45) days following the quarter in which Affiliate earns the Commissions. AOP will not pay aggregate Commissions less than $35.00 in any quarter; provided, that such Commissions will be paid in the next quarter in which earned Commissions are $35.00 or greater. 4.3 Refunds, Chargebacks and Special Promotions. In the event AOP issues a Client a refund or a credit for the Services, Affiliate shall be charged back the Commission on a pro rata basis, which AOP may offset from Commissions earned by Affiliate. Affiliate shall not be entitled to any Commissions for any free trial periods or if a Client cancels Services during any trial period subject to a refund. 5. Affiliate’s Representations. Affiliate represents and warrants to AOP that: (i) Affiliate has the power and authority to enter into and perform its obligations under this Agreement; (ii) Affiliate shall comply with all of the terms and conditions of this Agreement, as amended from time to time; (iii) Affiliate owns or controls the rights granted or licensed to it on the Affiliate Web Site; (iv) all information on the Affiliate Web Site is truthful, accurate and complete, and is not misleading in any way; (v) Affiliate shall not upload, post, email, transmit or otherwise make available any content, material, data, work, designation, trade or service mark, tradename, link, advertising or services that actually or potentially: (a) violates any applicable law or regulation, including, without limitation, false advertising or unfair competition under the law of any jurisdiction, (b) infringes or misappropriates any proprietary, intellectual property, contract or tort right of any person, or (c) to a reasonable person, may be abusive, obscene, pornographic, defamatory, invasive of privacy, harassing, grossly offensive, vulgar, threatening, malicious, otherwise objectionable or in way derogatory about AOP or any other party; (vi) the execution of and performance of its obligations under this Agreement will not violate the rights of any third party; and (vii) Affiliate shall not make any representation or warranties other than as expressly permitted under this Agreement, including, without limitation, any misrepresentations of the Program, the Services or the Site. 6. Prohibited Conduct. As a condition to Affiliate's participation in the Program and entitlement to earn Commissions under this Agreement, Affiliate agrees not to engage in any unacceptable conduct, which includes, without limitation: (i) disseminating, storing or transmitting unsolicited messages, chain letters or unsolicited commercial email; (ii) disseminating or transmitting material that, to a reasonable person may be abusive, obscene, pornographic, defamatory, invasive of privacy, harassing, grossly offensive, vulgar, threatening, malicious, otherwise objectionable or in any way derogatory about AOP or any other party; (iii) disseminating, storing or transmitting files, graphics, software or other material that actually or potentially infringes the copyright, trademark, patent, trade secret or other intellectual property right of any person; (iv) creating a false identity or to otherwise attempt to mislead any person as to the identity or origin of any communication; (v) exporting, re-exporting or permitting downloading of any message or content in violation of any export or import law, regulation or restriction of the U.S. and its agencies or authorities, or without all required approvals, licenses or exemptions; (vi) interfering, disrupting or attempting to gain unauthorized access to accounts on the Site or any other computer network; (vii) disseminating, storing or transmitting viruses, trojan horses or any other malicious code or program; (viii) violating any law or regulation; (ix) engaging in any activity the purpose of which is not expressly permitted under this Agreement; or (x) engaging in any other activity deemed by AOP to be in conflict with the spirit or intent of this Agreement. 7. Term and Termination. 7.1 Term. The term of this Agreement shall commence on the date AOP accepts Affiliate's application, and shall continue unless and until this Agreement is terminated as provided in Section 7.2 herein. 7.2 Termination. This Agreement may be terminated by either party at any time and for any reason by a party providing written notice to the other party. In the event AOP terminates this Agreement due to a breach of this Agreement by Affiliate, Affiliate shall not be entitled to payment for any Commissions earned and payable to Affiliate at the time of termination nor for any continued Commissions from revenues received by Clients after termination of this Agreement. 7.3 Affiliate's Obligations upon Termination of this Agreement. Upon termination of this Agreement for any reason, Affiliate shall immediately: (i) discontinue or disable the Link; (ii) remove the Link and AOP Icon from the Affiliate Web Site; and (iii) return to AOP or at AOP's request destroy any copies of files and/or data related to the Link to the Site in Affiliate's possession, control or custody. 8. Confidentiality. The parties shall maintain the terms and conditions of this Agreement confidential. All information furnished to Affiliate or shared by AOP with Affiliate with regard to the Program, the Site and the Services will be kept confidential by Affiliate and shall not be disclosed to any third parties except: (i) at the written consent of AOP; (ii) to the extent necessary to comply with any law, regulation or valid order of a court or agency of competent jurisdiction; (iii) as a part of its normal reporting requirements to its auditors and attorneys; or (iv) to the extent necessary to permit the performance of its obligations under this Agreement or to enforce its rights under this Agreement. 9. Disclaimer of Warranties. THE PROGRAM, THE SITE, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND AOP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FURTHER, AOP DOES NOT MAKE ANY REPRESENTATION OR WARRANTY AS TO ANY RESULTS THAT MAY BE OBTAINED BY PARTICIPATION AS AN AFFILIATE IN THE PROGRAM, INCLUDING, WITHOUT LIMITATION, THE AMOUNT OF COMMISSIONS, IF ANY, AFFILIATE MAY EARN THROUGH THE PROGRAM. 10. Limitation of Liability UNDER NO CIRCUMSTANCES SHALL AOP BE LIABLE TO AFFILIATE OR ANY OTHER PERSON, FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, RELIANCE OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS OR PROFITS, PENALTIES OR ATTORNEYS’ FEES, FOR ANY MATTER ARISING FROM OR RELATING TO THE PROGRAM, THE SITE, INCLUDING ITS CONTENT, OR THE SERVICES; WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT OR OTHERWISE, REGARDLESS OF ANY NEGLIGENCE OF AOP. IF AFFILIATE IS DISSATISFIED WITH THE PROGRAM, AFFILIATE'S SOLE AND EXCLUSIVE REMEDY SHALL BE FOR AFFILIATE TO TERMINATE THIS AGREEMENT. 11. Indemnification. Affiliate agrees to indemnify, hold harmless and defend AOP, its affiliates, and its and their shareholders, directors, officers, employees, agents, representatives, successors and assigns from and against any action, cause, claim, damage, debt, demand or liability, including, without limitation, reasonable costs and attorneys’ fees, asserted by any third party, arising directly or indirectly out of or relating to: (i) a breach or alleged breach of any representation, warranty, covenant or agreement in this Agreement by Affiliate; (ii) Affiliate's participation in the Program; (iii) the Affiliate Web Site; and (iv) any unacceptable use of the Program, AOP Icon, the Site, or the Services. 12. Force Majeure. If the performance of any part of this Agreement by AOP is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, fire, judicial or governmental action, labor dispute, war, insurrection, technical failure, act of God or any other causes beyond the control of AOP, AOP shall be excused from such performance to the extent that it is prevented, hindered or delayed by such causes. 13. Miscellaneous. 13.1 Independent Contractors. The relationship of the parties is and at all times shall remain one of independent contractors. Neither party is in any way a partner, joint venturer, affiliate, agent or representative of the other for any purpose whatsoever, nor has the legal right or authority to make any representation, warranty, promise, guaranty or agreement in the name of or for the account of the other under this Agreement, except as otherwise expressly authorized by a party under this Agreement. 13.2 Notices. Except as expressly set forth herein, any notices to be given by Affiliate pursuant to this Agreement shall be in writing, signed by Affiliate, and sent by: (i) facsimile transmission; (ii) first class certified mail, postage prepaid; (iii) overnight courier service, charges prepaid; or (iv) email, to the party to be notified, addressed to AOP at the following address, or sent by facsimile or by email to the following facsimile number or email address, or such other address, facsimile number or email address as AOP may have substituted by notice given to Affiliate as provided below in accordance with this provision. The sending of such notice shall constitute the giving of notice thereof. 13.3 Assignment. No rights or obligations under this Agreement may be assigned by Affiliate without the prior written consent of AOP. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective permitted successors and assigns. The parties agree and acknowledge that no third party has or shall have any rights as a third party beneficiary or otherwise arising from or relating to this Agreement. 13.4 Waiver. No waiver of any term, provision or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute, a waiver of any other term, provision or condition hereof, whether or not similar, nor shall such waiver constitute a continuing waiver of any such term, provision or condition hereof. No waiver shall be binding unless executed in writing by the party making the waiver. 13.5 Severability. If any provision of this Agreement is determined to be illegal or unenforceable, then such provision will be enforced to the maximum extent possible and the other provisions will remain fully effective and enforceable. 13.6 Governing Law. This Agreement shall be governed by the laws of the State of Colorado, as they apply to agreements made and solely performed therein, without regard for conflicts of law. All actions, claims or disputes arising hereunder or relating to or arising out of this Agreement, the Program, the Site or the Services shall be exclusively subject to the jurisdiction of the federal and state courts in the County of Arapahoe, State of Colorado. 13.7 Attorney's Fees. If any action in law or in equity is necessary to enforce this Agreement, the prevailing party will be entitled to reasonable attorneys’ fees and costs and expenses in addition to any other relief to which such party may be entitled. 13.8 Survival. All of Affiliate’s representations, warranties and indemnities in this Agreement, as well as the terms and provisions of Sections 7.3, 8, 9, 10, 11, 13.5, 13.6, 13.7, 13.8 and 13.10 shall survive termination of this Agreement. 13.9 Amendment. AOP shall have the right, in its sole discretion, at any time and without notice, to add to or modify this Agreement, by updating this Agreement on the Site. Affiliate's continued participation in the Program after the date such amended terms are updated shall be deemed to constitute acceptance of such amended terms. Affiliate is advised to review this Agreement on a regular basis for changes. 13.10 Entire Agreement. This Agreement constitutes the complete and exclusive statement of the agreement between the parties with respect to the subject matter herein and supersedes any and all prior or contemporaneous communications, representations, statements and understandings, whether oral or written, between the parties concerning the subject matter herein.
